Welcome to STR8OUTTAMEMPHIS. The terms “we,” “us,” “our,” and “STR8OUTTAMEMPHIS” refer to STR8OUTTAMEMPHIS.
STR8OUTTAMEMPHIS operates this website and online store, including all related information, content, features, tools, products, and services (collectively, the “Services”).
STR8OUTTAMEMPHIS is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any policies referenced herein, describe your rights and responsibilities when using the Services.

SECTION 3 — PARTNER BRANDS AND THIRD-PARTY FULFILLMENT
STR8OUTTAMEMPHIS works with 40+ independent firefighter and first-responder brands and offers products from multiple partner brands through our online store.
Certain products may be fulfilled and shipped directly by the applicable partner brand rather than from STR8OUTTAMEMPHIS.
Because of this business model, products within the same order may be fulfilled from different locations and may have different:
- Processing times
- Shipping carriers
- Fulfillment locations
- Tracking information
- Product specifications
- Manufacturer warranties
- Brand-specific policies
Partner brands remain responsible for fulfilling the products they provide to STR8OUTTAMEMPHIS for sale.
Where applicable, manufacturer warranties or partner-brand policies may apply to individual products.
SECTION 4 — ORDERS AND ACCEPTANCE
When you place an order through our website, you are submitting an offer to purchase the products listed in your order.
We reserve the right to accept, decline, limit, or cancel an order for legitimate reasons, including:
- Product availability
- Pricing or product information errors
- Fulfillment issues
- Suspected fraud or unauthorized transactions
- Incorrect customer information
- Supplier or partner-brand issues
- Violations of these Terms
- Other circumstances requiring cancellation
Your order is not considered accepted until we have accepted and processed the order.
If we cancel an order after payment has been received, we will refund the applicable amount paid for the canceled portion of the order.

SECTION 5 — PRICES, TAXES, AND BILLING
Product prices, discounts, promotions, and other offers are subject to change without notice.
The price charged for a product will generally be the price displayed at the time the order is placed and will be reflected in your order confirmation.
Unless otherwise stated, product prices do not include applicable taxes or shipping charges.
You agree to provide accurate and complete billing, payment, shipping, and contact information.
You represent that you are authorized to use the payment method provided for your purchase.
We reserve the right to correct pricing errors and cancel affected orders when necessary.
SECTION 6 — SHIPPING AND DELIVERY
Shipping is governed by our Shipping Policy, which is incorporated into these Terms.
For U.S. orders:
- $14.99 flat-rate shipping applies to orders under $150.
- Orders of $150 or more qualify for free shipping.
Because products may be fulfilled by multiple partner brands, an order may arrive in multiple shipments and may include multiple tracking numbers.
Customers will not be charged additional shipping solely because an order is fulfilled in multiple shipments.
Shipping and delivery times are estimates and are not guaranteed.
Delivery may be delayed due to circumstances outside our control, including carrier delays, severe weather, holidays, seasonal demand, fulfillment delays, or other unforeseen events.
SECTION 7 — REFUNDS, RETURNS, AND REPLACEMENTS
Returns, exchanges, refunds, cancellations, and replacements are governed by our Refund & Replacement Policy, which is incorporated into these Terms.
Unless otherwise required by applicable law or an applicable manufacturer or partner-brand policy, all sales are final.
If an order arrives damaged, defective, or missing an item, customers must contact us within the timeframe specified in our Refund & Replacement Policy.
Nothing in these Terms is intended to eliminate rights or remedies that cannot legally be excluded or limited.
SECTION 8 — INTELLECTUAL PROPERTY
The Services and their original content, including but not limited to STR8OUTTAMEMPHIS trademarks, logos, graphics, artwork, designs, photographs, videos, written content, product descriptions, and website materials, are owned by STR8OUTTAMEMPHIS or used with permission and are protected by applicable intellectual property laws.

STR8OUTTAMEMPHIS is powered by Shopify, which enables us to provide the Services.
However, purchases made through our online store are transactions between you and STR8OUTTAMEMPHIS.
Shopify is not responsible for products sold by STR8OUTTAMEMPHIS or for the fulfillment, quality, safety, or performance of products purchased through our store.

If an order is canceled because of a material error, we will refund amounts paid for the canceled portion of the order.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES AND CONDITIONS NOT EXPRESSLY PROVIDED BY US, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
PRODUCTS MAY ALSO BE SUBJECT TO MANUFACTURER OR PARTNER-BRAND WARRANTIES.
NOTHING IN THESE TERMS DISCLAIMS OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LEGALLY BE DISCLAIMED OR LIMITED.
SECTION 19 — LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STR8OUTTAMEMPHIS, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, AND PARTNER ENTITIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, CLAIMS RELATING TO LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.
SECTION 20 — INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless STR8OUTTAMEMPHIS, its owners, officers, employees, affiliates, contractors, service providers, and licensors from claims, losses, liabilities, damages, and reasonable expenses arising from:

- Your violation of applicable law;
- Your violation of the rights of another person or entity; or
- Your misuse of the Services.
We reserve the right to assume control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with us in such defense.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations under these Terms as part of a business transaction, reorganization, sale, merger, or other transfer of our business or assets.

These Terms of Service and your use of the Services shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Any dispute or legal proceeding shall be subject to the jurisdiction and venue permitted by applicable law.

We may update or modify these Terms of Service from time to time.
